答案为D，可是D中they之前有两个复数名词fees, officers,就算指代也应该指代中心词fee,而不是后置定语中的officers呀？

我想对于这道题，可以这么认为，因为其他的选项有严重的语法错误。

fee表示的是钱，钱应该是不可数名词，尽管后面加了s，这也只是一种常见的英文中的说法，所以they应该是指的是人，而不是钱。

另外，c选项的说法又麻烦又罗索，based on 后面常常跟名词或者是名词行从句，how引导的从句不能算是名词性从句吧。

补充一点个人看法
performance 表示的是一种结果，而how the funds they manage perform表示的是一种状态，根据题意思， fees of investment officers be based on performance （结果）

同意cook这里的逻辑意思很清楚，manage的动作执行者可以分辨出是officer，不存在代词指代问题。
Smokernone: fee 是可数名词，可以有复数，而且你的思维角度有问题，并不是指钱就不能用复数，要根据词具体分析。
